Terms & Conditions
The binding master agreement governing access to and usage of the TradeON Enterprise SaaS Platform for Tenant Admins, Sales Executives, Dealers, and Subdealers.
1. Acceptance of Terms
By registering an account, logging into, or using any feature of the TradeON platform (including web apps, PWA offline interfaces, and mobile tools), you agree to be bound by these Terms & Conditions ("Terms") and all incorporated policies.
If you are entering into these Terms on behalf of a business entity (distributor, dealer, subdealer, or retailer), you represent that you have full authority to bind such entity to these obligations.
2. User Accounts & Multi-Tier Roles
TradeON operates on a hierarchical multi-role authorization structure:
Full tenant configuration rights, user management, credit limit setup, product catalog controls, and global reporting access.
Field sales management, customer order booking, stock assistance, route checks, and TA/DA expense logging.
Managing assigned subdealer networks, approving purchase orders, issuing invoices, and monitoring network ledgers.
Placing stock orders with assigned dealers, viewing catalog pricing, inspecting order status, and reviewing account ledgers.
Account credentials (passwords, PINs, and session tokens) must be kept strictly confidential. You are responsible for all activities occurring under your account credentials.
3. B2B Order Placement & Execution
All purchase orders submitted through TradeON constitute commercial offers between the buyer (subdealer/dealer) and the seller (dealer/distributor). TradeON acts as an enterprise software platform facilitating contract communication and ledger tracking.
- Orders are subject to product availability, price verification, and credit check approvals by the fulfilling dealer or administrator.
- Order confirmation status ("Pending", "Approved", "Dispatched", "Delivered", "Cancelled") updated in the platform reflects binding operational states.
4. Payments & Credit Control
TradeON enables tenants to configure credit limits, payment terms (e.g., Net 30, COD, Pre-payment), and record payment transactions.
- Orders exceeding configured credit limits may be automatically flagged or locked pending administrator or dealer approval.
- Ledger records and invoice balances visible in TradeON constitute official accounting statements between participating parties.
5. User Conduct & Acceptable Use
Users agree not to:
- Submit false expense claims, fake TA/DA receipts, or spoof GPS coordinates.
- Attempt unauthorized access to other tenant workspaces or bypass Firestore security controls.
- Reverse engineer, decompile, or extract source code from the TradeON application.
- Upload malicious code, viruses, or automated scraping scripts.
6. Intellectual Property
TradeON, including its logos, UI designs, codebases, trade insights engines, and workflow algorithms, is the exclusive intellectual property of TradeON Technologies. Tenant logos and product catalogs remain the property of their respective tenant owners.
7. Service Availability & Uptime SLA
We strive to maintain a 99.9% operational uptime for the TradeON SaaS platform. Scheduled maintenance windows will be communicated via in-app banners. Offline PWA capabilities allow local data viewing during temporary network outages.
8. Limitation of Liability
To the maximum extent permitted by applicable law, TradeON Technologies shall not be liable for any indirect, incidental, consequential, or punitive damages (including loss of profits, commercial disruption, or data corruption) arising out of your use of or inability to use the service.
9. Account Suspension & Termination
TradeON reserves the right to suspend or terminate accounts in the event of material breach of these Terms, non-payment of SaaS subscription fees, or security violations.
10. Governing Law & Dispute Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
